These terms govern your use of this website and the Tacit platform. By using either, you agree to them.

Agreement to these terms
These terms are an agreement between you and The Tacit Intelligence Company, a New Zealand company. If your organisation has a separate written agreement with us, such as a master services agreement or order form, that agreement takes precedence over these terms where they conflict.
The services
We provide a platform that captures the judgment of experienced professionals through scenarios and conversations, and uses what it captures to build and evaluate AI systems for the organisation that owns the content. We also provide this website, documentation, and related APIs.
Accounts and access
Platform access is provisioned through your organisation. You are responsible for keeping your credentials confidential and for the activity that happens under your account. Tell us promptly at hello@tacitintelligence.co if you believe your account has been compromised.
Acceptable use
When using the services, you agree not to:
- Use them in breach of any law or the rights of others.
- Upload content you do not have the right to share.
- Probe, disable, or circumvent security or access controls.
- Reverse engineer the services or use them to build a competing product.
- Use automated means to extract data from the services beyond what our APIs are documented to allow.
Your content
Your organisation owns the content it brings to the platform and the content its experts create on it. You grant us the rights we need to host, process, and display that content to operate and provide the services, as set out in our agreement with your organisation and in our Privacy Policy.
You are responsible for ensuring the content you upload does not include information you are not permitted to share, such as another person’s confidential or personal information without authority.
AI-generated content
Parts of the services generate content using AI, including simulated conversations and automated scoring. AI-generated content can be inaccurate or incomplete. It exists to support training and evaluation, and it is not professional advice of any kind. You remain responsible for the decisions you make using it.
Our intellectual property
We own the services, including the software, models, designs, and documentation, along with all improvements to them. These terms do not transfer any of our intellectual property to you beyond the right to use the services as described.
Fees and payment
Fees for the platform are set out in the agreement or order form between us and your organisation. This website is free to use.
Disclaimers
The services are provided as available. To the extent permitted by law, we make no warranties beyond those in our written agreement with your organisation. Where you use the services for business purposes, the parties agree that the New Zealand Consumer Guarantees Act 1993 does not apply.
Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential loss arising from your use of the services, and our total liability for any claim is limited to the amount your organisation paid us for the services in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
Suspension and termination
We may suspend or end your access to the services if you materially breach these terms, if your organisation’s agreement with us ends, or if we must do so to comply with the law or protect the services. Your organisation’s agreement with us governs what happens to its content when access ends.
Changes
We may update the services and these terms over time. We will post updated terms on this page and revise the date at the top. Material changes will be communicated to account holders directly, and your continued use of the services after a change takes effect means you accept the updated terms.
Governing law
These terms are governed by the laws of New Zealand, and the courts of New Zealand have exclusive jurisdiction over any dispute about them.
